Fundraising: complete guide

Introduction

Every growing business reaches a point where its own savings and profits are not enough to fund the next stage. It may need to hire a team, build a product, buy machinery, stock inventory, enter new cities or carry customers on credit. At that point, founders and business owners look at outside money, which broadly comes in two forms: equity, where investors receive shares in exchange for capital, and debt, where lenders provide funds that must be repaid with interest. Choosing the right source, presenting the business convincingly and closing the transaction correctly can shape the company's future for years.

Our Fundraising services bring together the three things founders need most when looking for capital. First, a clear and accurate presentation of the business, in the form of a pitch deck that investors can understand quickly. Second, support with debt finance, including loan readiness, project reports and documentation for banks and non-banking finance companies. Third, legal and compliance support for equity rounds, from term sheet review and due diligence to transaction documents, private placement procedures, foreign exchange reporting and Registrar filings.

Raising capital in India involves several laws working together. The Companies Act, 2013 governs how a company issues shares and convertible instruments, especially through private placements and preferential allotments. The Foreign Exchange Management Act, 1999 and the rules under it govern investment by non-residents. Income tax law affects pricing and the tax treatment of transactions. Lending is regulated by the Reserve Bank of India, which also sets rules for fair practices, collateral and digital lending. Government schemes for micro, small and medium enterprises and recognised startups add further options and conditions. These rules change regularly, and we check the current position at the time of each engagement.

Professional support matters because mistakes in fundraising are expensive and slow to fix. A term sheet signed without advice can give away control, an allotment that skips a step can lead to refunds and penalties, and a loan application with mismatched figures can be declined. Our team of chartered accountants, company secretaries and lawyers helps you avoid these problems. We are not a lender, broker or investment adviser and we do not promise any funding outcome; our role is to make sure you are prepared and that every transaction is properly documented and compliant.

Pitch Deck. A pitch deck is the short presentation that introduces your business to investors, lenders, incubators and partners. We help you build the storyline, structure market and financial slides, write concise content and design a clean, consistent deck. We also review claims, projections and disclaimers for accuracy, so that the deck holds up during due diligence and stays within the private placement rules that apply to private companies.

Business Loan. For businesses that prefer debt to equity, we help you prepare for and apply for a business loan. This includes choosing the right facility, such as a term loan, working capital limit or equipment finance, checking eligibility for government-supported schemes for small enterprises, preparing project reports and projected financial statements, organising your documents and explaining the sanction letter before you accept it. We do not lend money ourselves, and the lender takes its own credit decision.

Fundraising. For equity rounds, we support the legal and compliance work from start to finish. We help structure the round and choose between equity shares, compulsorily convertible preference shares, compulsorily convertible debentures and convertible notes; review and negotiate the term sheet; prepare you for due diligence; draft or review the share subscription agreement, shareholders agreement and amended Articles; manage valuation, resolutions, the private placement offer letter and allotment; and complete Registrar and foreign exchange filings after closing.

These services work together. Many founders begin with a pitch deck, approach investors, and then use our fundraising support once a term sheet is on the table. Others use a business loan for working capital while keeping equity for long-term growth. We can help you plan the sequence.

What each service delivers. The pitch deck service ends with an investor-ready deck in editable and PDF formats, reviewed for accuracy. The business loan service ends with a complete, organised loan file and project report that you submit to the lender of your choice, along with our explanation of the sanction terms once they arrive. The fundraising service ends with signed transaction documents, allotted securities, updated statutory registers and cap table, and completed Registrar and foreign exchange filings.

Who These Services Are For

Our Fundraising services are designed for:

  • Early-stage founders preparing to approach angels, angel networks, incubators or early-stage funds for the first time.
  • Startups raising seed and venture rounds, who need a credible deck and careful handling of term sheets and transaction documents.
  • Recognised startups considering convertible notes or other startup-specific options.
  • Micro, small and medium enterprises looking for working capital, term loans or scheme-backed credit to expand operations.
  • Manufacturers and traders that need project reports and bank-ready financial projections for machinery, premises or inventory.
  • Family businesses bringing in an external investor or strategic partner for the first time.
  • Companies receiving foreign investment, which must meet sectoral, pricing and reporting rules.
  • Businesses cleaning up past rounds before a new investor's due diligence.

If you are not yet incorporated, you may also need our business setup services, since most equity investors invest only in a private limited company and most lenders prefer a registered entity with financial statements.

How to Choose the Right Service

The right service depends on the stage you are at and the type of capital that suits your business.

  • If you have not yet approached investors, start with a pitch deck. A clear deck helps you test your story with mentors and investors and prepares you for the questions that follow.
  • If you have steady revenue and want to keep full ownership, consider a business loan. Debt is suitable when your cash flows can comfortably cover repayments and you have a clear use for the funds, such as stock or machinery.
  • If you are a new enterprise with a small requirement, a business loan under a government-supported scheme for micro enterprises may be more realistic than equity.
  • If an investor has shown interest or sent a term sheet, choose our fundraising service, so that the term sheet, documents and filings are handled properly.
  • If you have foreign investors, use the fundraising service, as foreign exchange pricing and reporting rules apply.
  • If you are unsure whether to borrow or raise equity, book a consultation. We will look at your stage, cash flows, growth plans and appetite for dilution, and explain the trade-offs.

Questions to ask yourself before choosing. How much money do you need, and for how long? Is the need for a long-term asset, such as machinery or product development, or for short-term working capital? Do your current cash flows support regular repayments? How much ownership and control are you willing to share? Do you have financial statements, tax returns and GST returns in order, or do they need attention first? Are any of your likely investors based outside India? Honest answers to these questions usually point clearly towards one service or a combination.

Readiness matters as much as the choice. Whichever route you choose, investors and lenders look for the same basics: a registered entity, clean books of account, timely tax and Registrar filings, clear ownership of intellectual property and contracts that are properly documented. If any of these are missing, we may suggest putting them right before you start, because fixing them during a live deal adds time and weakens your negotiating position.

Equity versus debt in brief. Equity does not need to be repaid, but it reduces your ownership and usually gives investors certain rights in decision-making. Debt keeps ownership intact, but creates a fixed repayment obligation, may require collateral or personal sureties, and comes with covenants. Many businesses use both at different times.

How We Work

  1. Initial consultation. We discuss your business, stage, capital requirement and timeline, and recommend the services that fit.
  2. Clear scope and quote. You receive a written scope and fee before work begins, with government fees and third-party charges shown separately as payable at actual.
  3. Document collection. We share a checklist and collect information through a secure process. We review it for gaps and inconsistencies.
  4. Preparation. Depending on the service, we prepare the pitch deck, loan file and project report, or the structuring note, term sheet comments and transaction documents.
  5. Review with you. We walk you through our work, explain each key point in plain language and revise it based on your feedback.
  6. Support during the process. We help you respond to investor due diligence, lender queries and negotiation comments.
  7. Closing and filings. For equity rounds, we manage approvals, allotment and filings. For loans, we review the sanction letter and guide you on documentation and security creation.
  8. Ongoing compliance. After closing, we can support you with company secretarial work, accounting, investor reporting and renewals.

Throughout the engagement, you have a single point of contact who keeps you updated at each stage. All information you share is kept confidential.

Working alongside your other advisers. Many founders already have a statutory auditor, a mentor, an incubator or an investor's lawyer involved in the transaction. We coordinate with them where you ask us to, share drafts in a format that is easy to review, and keep a clear record of open issues so that decisions are not lost between parties.

Our approach to accuracy. We do not inflate numbers in decks or project reports, and we flag statements that cannot be supported. This protects you during due diligence, when investors and lenders check claims against records, and it protects you later, because investment agreements usually contain warranties that the information you shared was accurate.

Pricing

Pricing for Fundraising services depends on the service you choose and the complexity of your requirement. Each service page shows its own fee or explains how it is quoted.

  • Fixed-fee services cover a defined scope, such as a standard investor deck with a set number of revision rounds.
  • Quoted services are priced after we understand your requirement, because the work varies with factors such as the size of the round, the number of investors, the involvement of foreign investors, the need for a detailed project report and the state of your existing records.

Every quote is given in writing and lists what is included and what is not. Government filing fees, stamp duty, depository charges, bank processing and valuation charges, and fees of independent valuers are payable at actual and are not part of our professional fee. We do not charge success fees linked to the amount raised.

FAQs

Do you raise money for my business?

No. We help you prepare and complete the legal, financial and documentation work. We do not solicit investors, lend money or promise funding.

Which service should I start with?

If you are just beginning to approach investors, start with a pitch deck. If you need debt, start with business loan support. If you have an interested investor or a term sheet, start with the fundraising service.

Can I use more than one service?

Yes. Many founders use a pitch deck to approach investors and then use fundraising support to close the round. Some also take a business loan for working capital.

Do I need a company to raise funds?

Most equity investors invest only in a private limited company. Lenders can lend to proprietorships, partnership firms, LLPs and companies, but requirements vary.

Can foreign investors invest in my startup?

Yes, if your sector permits foreign investment. The investment must follow the entry route, sectoral cap, pricing rules and reporting requirements under foreign exchange law.

What government schemes support business loans?

Schemes exist for micro enterprises, first-generation entrepreneurs, women and Scheduled Caste or Scheduled Tribe entrepreneurs, and for collateral-free credit to micro and small enterprises. We check your eligibility at the time of application.

What is a term sheet?

A term sheet is a short document setting out the main commercial terms of an investment, such as valuation, instrument, investor rights and conditions. It is usually non-binding except for clauses like confidentiality and exclusivity.

How long does fundraising take?

It varies widely. A simple angel round may close in a few weeks, while a venture round with due diligence and negotiation can take a few months. Loan timelines depend on the lender.

Is my information kept confidential?

Yes. We treat all information you share as confidential and can sign a non-disclosure agreement if you prefer.

Do you charge a percentage of the amount raised?

No. Our fees are fixed or quoted for the scope of work, not linked to the amount raised or the loan sanctioned.

Can you fix problems from an earlier round?

Yes. If earlier allotments or filings were not completed correctly, we can review them and advise on regularisation before your next round.

Are the rules on fundraising stable?

No. Company law, foreign exchange, tax and lending rules are amended regularly. We check the current requirements at the time of each engagement.

Can you help if I am not yet incorporated?

Yes. We can help you prepare a pitch deck before incorporation and advise on the right entity for the funding you plan to raise. Incorporation itself is handled through our business setup services.

What should I prepare before our first consultation?

A short description of the business, your latest financial statements or management accounts, your current shareholding and an idea of how much money you need and why. If you have a term sheet or loan offer, bring that too.
