Employment Agreement

Set clear expectations and protect your business from the very first hire

An Employment Agreement is a legally binding contract between an employer and an employee defining the terms and conditions of employment. It protects both parties by clearly establishing compensation, responsibilities, working conditions, termination clauses, intellectual property ownership, and restrictive covenants.

Employment Agreement: complete guide

Introduction

An employment agreement is the written contract between an employer and an employee that records the terms on which the employee is hired. It sets out the job title and role, the place of work, salary and benefits, working hours, leave, probation, confidentiality, ownership of work, conduct rules, notice period and grounds for termination. While an offer letter often covers the headline terms, a full employment agreement gives both sides a clear and complete record of what has been agreed, which helps prevent misunderstandings and disputes later.

Employment in India is governed by a combination of laws. The Indian Contract Act, 1872 governs the contract itself, while labour laws set minimum standards that the contract cannot reduce. The four labour codes, namely the Code on Wages, 2019, the Industrial Relations Code, 2020, the Code on Social Security, 2020 and the Occupational Safety, Health and Working Conditions Code, 2020, have consolidated many older labour laws on wages, bonus, provident fund, gratuity, working conditions and industrial disputes. State shops and establishments laws also regulate working hours, holidays and leave for many offices and businesses. The exact rules that apply depend on the nature of the business, the state, the number of employees and the employee's role and pay.

A good employment agreement balances the employer's need to protect its business with the employee's legal rights. Clauses on confidentiality, intellectual property and non-solicitation are important for employers, especially in technology, consulting and creative businesses. At the same time, Indian courts have consistently held that restrictions preventing an employee from working elsewhere after leaving are generally void under Section 27 of the Indian Contract Act. An agreement that ignores this may give an employer a false sense of security.

Our team drafts employment agreements tailored to the role, the industry and the location of employment. We help you set terms that are clear and practical, reflect current labour law, and include protections that are enforceable. Whether you are hiring your first employee or standardising contracts for a growing team, we prepare agreements that you can use with confidence.

Who Needs It

Key Benefits

Employment agreement compared with an offer letter. An offer letter is usually short and confirms the role, start date and pay. It is useful for speed but often leaves out important terms such as confidentiality, intellectual property, conduct, data protection and dispute resolution. An employment agreement covers these in full. Many employers issue an offer letter first and then sign a detailed agreement on joining, or combine the two into one comprehensive letter of appointment.

How restrictive covenants work in India. Section 27 of the Indian Contract Act, 1872 makes any agreement in restraint of a lawful profession, trade or business void, except in limited cases such as the sale of goodwill. Courts have generally upheld restrictions that apply during employment, such as exclusivity, but have refused to enforce post-employment non-compete clauses. Confidentiality obligations that protect genuine trade secrets, and non-solicitation clauses that restrict poaching of employees or clients, are treated more favourably, although they must be reasonable. Drafting these clauses carefully makes a real difference to their usefulness.

Eligibility and Legal Requirements

Labour codes, rules and state laws are being implemented and amended over time, and some provisions differ by state. We check the current position at the time of drafting.

Step-by-Step Guide

  1. Initial consultation. We discuss the role, seniority, location, pay structure and any special terms such as bonuses, incentives or stock options.
  2. Questionnaire. We share a short questionnaire covering probation, working hours, leave policy, notice period, benefits and confidentiality needs.
  3. Policy review. We review your existing offer letters, HR policies, code of conduct and employee handbook, if any, so the agreement is consistent.
  4. Legal mapping. We identify the labour laws and state rules that apply to your establishment and the role.
  5. Drafting. We prepare the agreement with clauses on appointment, duties, compensation, benefits, working hours, leave, probation, confidentiality, intellectual property, data protection, conduct, termination, notice and dispute resolution.
  6. Annexures. We prepare schedules for salary breakup, role description and any variable pay or incentive structure.
  7. Explanatory note. We share a note on the key clauses and options, such as the length of notice and the scope of non-solicitation.
  8. Revisions. We incorporate your comments within the agreed revision rounds.
  9. Execution guidance. We advise on stamp duty, signing, and whether electronic signatures can be used.
  10. Template handover. We share the final agreement in an editable format so you can use it for similar roles, with guidance on what to change for each hire.

FAQs

Is an employment agreement mandatory in India?

There is no single law requiring a written employment agreement for every employee, but labour codes require appointment letters for certain categories of workers, and a written agreement is strongly recommended for clarity and evidence.

Can I include a non-compete clause?

You can include restrictions during employment. Post-employment non-compete clauses are generally void under Section 27 of the Indian Contract Act. Confidentiality and reasonable non-solicitation clauses are more likely to be enforced.

What is a reasonable notice period?

There is no fixed rule for all employees. Notice periods commonly range from one to three months depending on seniority. Some labour laws specify minimum notice for certain categories of workers. The notice period should be fair and consistent for both sides.

Who owns the work an employee creates?

Under the Copyright Act, 1957, work created by an employee in the course of employment under a contract of service generally belongs to the employer, unless agreed otherwise. The agreement should also include a clear assignment for other intellectual property.

Can an employer change the terms after the agreement is signed?

Changes to key terms such as salary, role or location should be agreed in writing. Some changes may require notice to employees under labour law.

Does an employment agreement need to be stamped?

Stamp duty requirements depend on state law. We advise on whether stamp duty applies in your state, which is payable at actual.

Can employment agreements be signed electronically?

Yes. Employment agreements can generally be signed using electronic signatures under the Information Technology Act, 2000.

What is probation, and can it be extended?

Probation is an initial period during which the employer assesses the employee. The agreement can allow for an extension, but the terms should be stated clearly and applied fairly.

Do I need separate agreements for employees in different states?

The main terms can be the same, but clauses on working hours, leave and holidays may need to reflect state laws. We can prepare state-specific versions if needed.

What happens if an employee breaches confidentiality?

The employer may take disciplinary action, terminate employment as allowed by the agreement and policies, and seek remedies in court, such as an injunction and damages.

Can you review an agreement given to me by my employer?

Yes. We can review an employment agreement or offer letter and explain your rights and obligations, and suggest changes before you sign.

Can I use the same agreement for interns and consultants?

No. Interns and consultants have different relationships with the business. Interns need an internship agreement, and consultants need a consultancy agreement that reflects their independent status.

What should be included for remote employees?

The agreement should cover the place of work, working hours, equipment, data security, expense reimbursement and how the employee will be supervised and evaluated.

Frequently asked questions

Is a separate offer letter sufficient, or do I need a full employment agreement?

An offer letter covers basic terms but is usually not comprehensive enough. A full Employment Agreement covers confidentiality, IP ownership, non-compete, dispute resolution, and termination — all essential for protecting your business.

Are non-compete clauses enforceable in India?

Non-compete clauses operative during employment are generally enforceable. Post-employment non-compete clauses are typically not enforceable in India (Section 27 of Indian Contract Act restricts contracts in restraint of trade). However, non-solicitation of clients/employees can be enforceable.
