Documentation: complete guide
Introduction
Almost every business relationship, property transaction and personal arrangement depends on a document. A well-drafted agreement records what each party has promised, what happens if something goes wrong and how disputes will be resolved. A properly worded legal notice sets out a claim clearly and starts the legal clock. A carefully prepared will or power of attorney makes sure your wishes are followed when you are not able to act yourself. When these documents are vague, copied from a template or out of step with the law, they tend to fail at the moment they are needed most.
Our Documentation services cover the agreements, notices, policies and personal legal documents that individuals, startups and established businesses in India need. This includes commercial contracts such as consultancy, vendor, franchise, joint venture and master service agreements; founder and shareholder arrangements; employment documents; website policies such as terms of service, disclaimers and data protection documents; legal notices for cheque bounce and recovery of dues; and property and personal documents such as rental agreements, sale deeds, powers of attorney and wills.
Indian contract law is largely based on the Indian Contract Act, 1872, but each document also sits within its own set of rules. A rental agreement has to account for the Registration Act, 1908 and state stamp laws. A cheque bounce notice must follow the strict timelines in the Negotiable Instruments Act, 1881. Employment agreements must respect labour laws and the limits courts place on restrictive covenants. A sale deed must be stamped and registered to transfer ownership. Website and privacy documents must reflect the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.
Professional drafting matters because the cost of a poor document usually appears later, in a dispute, an unenforceable clause, a rejected registration or a missed deadline. Our team of advocates and legal professionals drafts each document for your specific facts, explains the key clauses in plain language, and advises on stamping, signing, notarisation and registration where they apply. This page gives an overview of each service in the category, who they are for, and how to choose the right one.
Services in This Category
Cheque Bounce Notice. When a cheque is returned unpaid for insufficient funds or because it exceeds the arrangement with the bank, Section 138 of the Negotiable Instruments Act, 1881 allows the payee to send a demand notice within 30 days of receiving information of the dishonour. We draft and send the notice so that the strict statutory requirements are met and the option of filing a complaint is preserved.
Consultancy Agreement. A consultancy agreement sets out the terms on which an independent consultant or firm provides advisory or professional services. We draft agreements covering scope, fees, deliverables, ownership of work product, confidentiality, independent contractor status and termination.
Disclaimer. A disclaimer limits a website's, app's or publication's liability for the information it provides. We draft disclaimers suited to your content, such as financial, health, legal, affiliate or general information, so that users are clearly informed of the limits of what you offer.
Employment Agreement. An employment agreement records the terms of employment, including role, pay, working hours, leave, probation, confidentiality, intellectual property and notice periods. We draft agreements that reflect Indian labour law and enforceable restrictive covenants.
Founders Agreement. A founders agreement sets out how co-founders share equity, divide roles, vest their shares and deal with exits, disputes and decision-making. We draft agreements that help founders avoid conflicts as the business grows.
Franchise Agreement. A franchise agreement governs the relationship between a franchisor and franchisee, including the brand licence, territory, fees, training, operating standards and termination. We draft agreements that protect the brand while setting out clear obligations on both sides.
GDPR. Indian businesses that offer goods or services to people in the European Union, or monitor their behaviour, may need to comply with the EU General Data Protection Regulation. We prepare privacy notices, data processing agreements and related documents, and help you align them with Indian data protection law.
Joint Venture Agreement. A joint venture agreement records how two or more parties will collaborate on a project or business, whether through a new company or a contractual arrangement. We draft terms on contributions, management, profit sharing, deadlock and exit.
Legal Notice. A legal notice formally informs the other party of your grievance and the action you intend to take if it is not resolved. We draft and send notices for contractual disputes, consumer complaints, property matters, employment issues and other civil claims.
Legal Notice for Recovery of Dues. When a customer, client or borrower has not paid an amount owed, a recovery notice demands payment within a fixed time. We draft notices based on your invoices and records, and advise on next steps such as a civil suit, summary suit or proceedings under insolvency law where applicable.
Make a Will. A will sets out how your property should be distributed after your death and who should carry out your wishes. We draft wills that are clear, properly witnessed and suited to your family and assets, and advise on optional registration.
Master Service Agreement. A master service agreement sets out the general terms that govern a long-term services relationship, with individual projects covered by separate statements of work. We draft agreements covering payment, liability, intellectual property, confidentiality and dispute resolution.
Memorandum of Understanding. An MoU records the shared understanding of parties before or during a collaboration. We draft MoUs that state clearly which clauses are binding and which are not, so expectations are aligned.
Non Disclosure Agreement (NDA). An NDA protects confidential information shared between parties during discussions, hiring or collaboration. We draft one-way and mutual NDAs with clear definitions, permitted uses, duration and remedies.
Power of Attorney. A power of attorney authorises another person to act on your behalf for specific matters or in general. We draft general and special powers of attorney, including for property and for non-resident Indians, and advise on stamping, notarisation and registration.
Rental Agreement. A rental agreement sets out the terms of renting a residential or commercial property, including rent, deposit, maintenance, lock-in and termination. We draft agreements and advise on stamp duty and registration requirements in your state.
Sale Deed. A sale deed transfers ownership of immovable property from seller to buyer. We draft sale deeds after reviewing title documents and advise on stamp duty and registration before the Sub-Registrar.
Scope of Work and Deliverables Agreement. This document defines the exact work, deliverables, timelines, acceptance criteria and payment milestones for a project. We draft it so that both sides know what is to be delivered and when.
Service Level Agreement. An SLA sets out measurable service standards such as uptime, response times and resolution times, along with the remedies if they are missed. We draft SLAs that are realistic and enforceable.
Shareholders Agreement. A shareholders agreement governs the rights and obligations of shareholders in a company, including board composition, transfer restrictions, investor rights and exit. We draft agreements that work alongside the company's Articles of Association.
Terms of Service. Terms of service set the rules for using a website, app or platform, including user obligations, payments, intellectual property and liability limits. We draft terms that suit your business model and Indian law.
Vendor Agreement. A vendor agreement governs the supply of goods or services by a vendor to a business, including quality, delivery, pricing, payment and warranties. We draft agreements that protect your supply chain.

How to Choose the Right Service
The right document depends on what you are trying to achieve. A few questions can help:
- Are you starting a relationship or dealing with a problem? For a new relationship, you need an agreement such as a consultancy, vendor, employment or service agreement. For an existing problem, such as non-payment or breach, a legal notice or recovery notice is usually the first step.
- Is the arrangement long-term or project-based? For a long-term services relationship with several projects, a master service agreement with separate scope of work documents is often more practical than one long contract. For a single project, a scope of work agreement or consultancy agreement may be enough.
- Do you need performance standards? If service levels such as uptime or response times are central, add a service level agreement.
- Who are the parties? Founders need a founders agreement early. Once investors or additional shareholders come in, a shareholders agreement becomes important. Two businesses collaborating on a new venture need a joint venture agreement.
- Are you sharing confidential information? Start with an NDA before sharing business plans, code, designs or customer data.
- Is the arrangement still at an early stage? An MoU can record the broad understanding, but remember that only the clauses you intend to be binding will be enforced.
- Is property involved? For renting, use a rental agreement. For a transfer of ownership, a sale deed is needed. For allowing someone to deal with your property, a power of attorney may be appropriate.
- Do you run a website or app? Terms of service, a disclaimer and a privacy policy are the basic set. If you deal with users in the European Union, consider GDPR documents.
- Is it about your family's future? A will is the most direct way to set out how your assets should pass.
If you are unsure, our team can help you choose during a short consultation. In many situations, more than one document is needed, and we will tell you which are essential and which are optional.
How We Work
- Understanding your requirement. We begin with a consultation or a short questionnaire to understand the parties, the transaction, the commercial terms and your concerns.
- Reviewing existing material. If you have a draft, a term sheet, previous agreements or correspondence, we review them so the new document fits your situation.
- Drafting. Our team prepares a first draft tailored to your facts, using clear language and clauses that reflect current Indian law.
- Explaining key clauses. We share the draft with a short note on the important clauses and any choices you need to make.
- Revisions. We incorporate your comments and, where needed, comments from the other party, within the revision rounds included in the service.
- Execution guidance. We advise on stamp duty, signing, witnessing, notarisation and registration where they apply, which vary by state and by document.
- Sending notices. For legal notices, we send the notice through an appropriate mode such as registered post or courier and email, and keep proof of dispatch and delivery.
- Next steps. After the document is signed or the notice is sent, we explain what to do next, such as registration, compliance with timelines or filing a complaint if a notice is not complied with.
Laws, stamp duty rates and registration rules change from time to time and differ between states. We check the current position at the time of drafting and execution.
Pricing
Each documentation service has its own professional fee, which is shown on the page for that service. The fee depends on the type of document, its complexity and the work involved, such as drafting, review rounds and dispatch of notices.
Each service page explains what the fee includes. In most cases, it covers a consultation, drafting, a set number of revisions and guidance on execution. Government charges such as stamp duty, registration fees and court fees are not part of our professional fee and are payable at actual. Where a matter needs more work than the standard service, such as complex negotiations, multiple parties or bespoke structures, we provide a quote in advance so you know the cost before we begin.
FAQs
Can I use a template instead of a professionally drafted document?
Templates can be a starting point, but they often miss facts specific to your situation, use clauses that are not suited to Indian law, or leave out important protections. A tailored document reduces the risk of disputes and unenforceable terms.
Do all agreements need to be stamped?
Most agreements attract stamp duty under the Indian Stamp Act, 1899 or the stamp law of the relevant state. An unstamped or insufficiently stamped document may not be admitted as evidence until the duty and any penalty are paid. We advise on the stamp duty applicable to your document, which is payable at actual.
Which documents need to be registered?
Documents such as sale deeds and leases of immovable property for more than one year must be registered under the Registration Act, 1908. Some powers of attorney relating to property may also require registration depending on the state. Wills can be registered but registration is optional.
Are electronically signed agreements valid in India?
Many agreements can be signed electronically under the Information Technology Act, 2000, using an electronic signature or a digital signature. However, certain documents, such as wills, powers of attorney, trusts and contracts for sale of immovable property, are excluded and must be signed physically.
How long does drafting take?
Simple documents such as NDAs, rental agreements and legal notices are usually drafted within a few working days. Complex agreements such as shareholders, joint venture or franchise agreements take longer, depending on the commercial terms and the number of revisions.
Can you review an agreement the other party has sent me?
Yes. We can review a draft prepared by the other side, explain the risks, and suggest changes to protect your interests.
Do you send legal notices on my behalf?
Yes. For legal notices, cheque bounce notices and recovery notices, we draft the notice and send it through an advocate, keeping proof of dispatch and delivery for future proceedings.
Will my documents be kept confidential?
Yes. Your information and documents are used only for preparing your document and are handled confidentially by our team.
What if I need changes after the document is signed?
Signed agreements can usually be changed through a written amendment or addendum signed by all parties. We can draft the amendment and advise on any additional stamp duty.
Do you handle disputes if the other party does not comply?
Our documentation services cover drafting and notices. If a dispute progresses to court, mediation or arbitration, we can advise on next steps and quote for representation separately.
Can non-resident Indians use these services?
Yes. NRIs often use our services for powers of attorney, rental agreements, sale deeds and wills. We advise on how to sign and attest documents from abroad, including notarisation or apostille where needed.
Can one document cover several issues at once?
Sometimes. For example, a consultancy agreement can include confidentiality and intellectual property clauses. However, for some relationships, separate documents such as a master service agreement with individual scope of work documents are more practical. We advise on the right structure for your needs.
