Rental Agreement: complete guide
Introduction
A rental agreement is a written contract between a property owner, called the landlord or licensor, and a person who takes the property on rent, called the tenant or licensee. It sets out the property being rented, the rent, the security deposit, the period of the arrangement, who pays for maintenance and utilities, the rules for use of the premises, and how either party can end the arrangement. Rental agreements are used for flats, independent houses, rooms, paying guest accommodation, shops, offices, warehouses and other premises across India.
A clear written agreement protects both sides. For the landlord, it records the tenant's obligation to pay rent on time, to use the property only for the agreed purpose, to avoid damage and to vacate at the end of the term. For the tenant, it records the agreed rent and deposit, the period of stay, the landlord's duty to provide peaceful possession and essential repairs, and the conditions for refund of the deposit. A written and properly stamped agreement is also needed in many day-to-day situations, such as proof of address for bank accounts, passports, vehicle registration and gas connections, claims for house rent allowance, police tenant verification, and GST or shop registration for commercial premises.
The law on tenancy in India is spread across several statutes. The Transfer of Property Act, 1882 defines a lease and sets the default rules on notice and termination. The Registration Act, 1908 requires registration of leases of immovable property from year to year, or for any term exceeding one year, or reserving a yearly rent. State rent control laws, such as those in Delhi, Maharashtra, Karnataka, Tamil Nadu and other states, regulate rent increases, eviction grounds and tenant protection, though many of them exclude newer or higher-rent premises. Several states have also adopted new tenancy laws based on the Model Tenancy Act, 2021 published by the Central Government, which provide for written agreements, intimation to a Rent Authority, limits on security deposits and faster dispute resolution. The Indian Stamp Act, 1899 and state stamp laws decide the stamp duty.
Because the rules vary so much between states, a rental agreement that works in one city may be inadequate in another. In some states all leave and licence agreements must be registered regardless of duration, while elsewhere an eleven-month agreement on stamp paper is common practice. Our team drafts rental agreements in line with the law of the state where the property is located, includes clauses suited to residential or commercial use, and guides you through stamping, registration and execution.
Who Needs It
A rental agreement is needed by:
- Landlords renting out a flat or house to individuals, families or groups of working professionals or students.
- Tenants moving into a new home, who need a clear written record of rent, deposit and terms, and proof of address.
- Owners of commercial property renting shops, offices, showrooms, clinics or warehouses to businesses.
- Businesses taking premises on rent, who need a valid agreement for GST registration, shop and establishment registration, trade licences and bank accounts.
- Paying guest and hostel operators offering rooms or beds with or without services.
- Companies leasing accommodation for employees, where the company is the tenant or pays rent on the employee's behalf.
- NRIs renting out property in India, who often act through a family member holding a Power of Attorney.
- Landlords and tenants renewing an existing arrangement, who need a fresh agreement with revised rent and terms.
Key Benefits
- Clear terms from day one. Rent, deposit, due dates, maintenance charges and permitted use are recorded in writing.
- Protection of the deposit. The agreement states how much is paid, what deductions are allowed and when the balance will be refunded.
- Lawful eviction process. Termination and notice clauses give the landlord a clear basis to seek possession at the end of the term.
- Security of stay for tenants. The tenant has a defined period of stay and protection against arbitrary eviction during it.
- Proof of address and tenancy. A registered or properly stamped agreement is accepted as address proof by many institutions.
- Support for tax claims. Tenants can use the agreement and rent receipts to support house rent allowance claims, and landlords can document rental income correctly.
- Evidence in disputes. A written, stamped agreement is admissible in evidence, while an unstamped or unwritten arrangement leads to disputes over terms.
Lease and leave and licence: what is the difference? A lease transfers a right to enjoy the property for a period to the tenant, creating an interest in the property. A leave and licence gives the licensee only a personal permission to use the premises, without creating an interest in the property. Under the Indian Easements Act, 1882, a licence does not create an interest in the property. In practice, the label alone does not decide the matter; courts look at the substance of the arrangement, such as exclusive possession and the intention of the parties. Many residential agreements in Maharashtra are drafted as leave and licence agreements, while elsewhere lease or rental agreements are common.
Why eleven-month agreements are common. Because leases exceeding one year require compulsory registration under the Registration Act, 1908, many parties choose an eleven-month term to avoid registration and the related stamp duty. This practice is lawful in many states, but it is not universal. Maharashtra requires registration of leave and licence agreements regardless of duration, and states that have adopted new tenancy laws may require written agreements to be intimated to the Rent Authority. An unregistered agreement that should have been registered may not be admissible as evidence of the lease terms. We advise on the right term and registration for your state.
Eligibility and Legal Requirements
- Competent parties. The landlord and tenant must be adults of sound mind, or entities acting through authorised signatories. If the property is jointly owned, all co-owners should ideally sign, or one should be authorised by the others.
- Landlord's title. The landlord should have the right to rent out the property, as owner, as an authorised attorney, or as a tenant permitted to sublet.
- Written agreement. Leases of immovable property from year to year, or for more than one year, or reserving a yearly rent, must be made by a registered instrument under Section 107 of the Transfer of Property Act, 1882.
- Registration. Under Section 17 of the Registration Act, 1908, leases exceeding one year are compulsorily registrable. Some states require registration of shorter agreements too.
- Stamp duty. Rental agreements attract stamp duty under the applicable state stamp law, usually based on the rent, deposit and term. Stamp duty is paid at actual, through stamp paper or e-stamping where available.
- Notice period. Under Section 106 of the Transfer of Property Act, 1882, in the absence of a contract or local law to the contrary, a lease for purposes other than agriculture or manufacturing is treated as month to month and terminable by fifteen days' notice. Most agreements set their own notice period, commonly one to three months.
- State tenancy laws. Rent control and new tenancy laws may regulate rent increases, security deposit limits, grounds for eviction and dispute forums. States that have adopted the Model Tenancy Act, 2021 framework may cap residential security deposits and require intimation to the Rent Authority.
- Police verification. Many cities require landlords to submit tenant details for police verification. This is a separate requirement from the agreement itself.
- Tax deduction at source. Certain tenants, such as individuals paying rent above the monthly threshold set by the Income Tax Act, and businesses liable to audit, must deduct tax at source from rent. Tenants claiming house rent allowance above the prescribed limit need the landlord's PAN.
- GST on commercial rent. Renting commercial property is generally a taxable supply under GST, and registered landlords must charge GST. Residential renting to a registered person may attract GST under reverse charge in some cases.
Rent, stamp duty and tenancy rules differ widely between states and change from time to time. We check the current requirements for your state at the time of drafting.

Common Mistakes to Avoid
- Not putting the agreement in writing. Oral arrangements lead to disputes over rent, deposit and notice, and are difficult to prove.
- Under-stamping. An agreement on inadequate stamp paper is not admissible in evidence until the deficit and penalty are paid.
- Not registering when required. A lease over one year, or any agreement that your state requires to be registered, should be registered.
- Unclear deposit terms. State the amount, permitted deductions and the time for refund.
- No escalation clause. Without an agreed escalation, rent increases on renewal can cause disputes.
- No lock-in or notice period. Without them, either party may exit abruptly.
- No inventory. Without a list of fixtures and their condition, disputes over damage at handover are common.
- Ignoring society rules. Housing societies may have rules on tenants, parking and use of common areas.
- Skipping police verification. Many cities require it, and failure can lead to action against the landlord.
- Renting without the owner's authority. A tenant should check that the person renting out the property has the right to do so.
What Happens After
After the rental agreement is signed:
- Hand over possession with a signed inventory and meter readings recorded.
- Complete police verification of the tenant where required in your city.
- Issue and keep rent receipts, or pay rent by bank transfer for a clear record.
- Deduct TDS on rent where the tenant is required to do so, and issue the required certificate.
- Inform the housing society or association about the tenant, if required.
- Track the expiry date and decide on renewal or vacation well in advance, giving notice as agreed.
- Conduct a joint inspection at the end, settle dues, and refund the deposit after permitted deductions within the agreed time.
Our team can help with renewal agreements, notices for vacation, deposit disputes and legal notices for rent arrears.
FAQs
Is it necessary to register a rental agreement?
Registration is compulsory for leases exceeding one year. Some states, such as Maharashtra for leave and licence agreements, require registration even for shorter periods. Elsewhere, agreements of up to eleven months are often executed on stamp paper without registration.
Why are most rental agreements for eleven months?
Because leases over one year must be registered, many parties choose eleven months to avoid compulsory registration. This practice depends on state law and is not suitable everywhere.
How much security deposit can a landlord take?
It depends on the state. In states that have adopted the new tenancy law framework, residential deposits may be capped at a set number of months' rent. Elsewhere, the amount is generally a matter of agreement between the parties.
Can the landlord increase rent during the term?
Only if the agreement allows it, such as through an escalation clause. Otherwise, rent can be revised at renewal by mutual agreement, subject to any state rent control rules.
Can the tenant sublet the property?
Only if the agreement permits subletting or the landlord gives written consent. Unauthorised subletting is a common ground for eviction.
What happens if the tenant does not vacate after the agreement ends?
The landlord should send a notice and, if the tenant still does not vacate, approach the competent court or Rent Authority under the applicable state law. Self-help such as cutting off utilities or changing locks is not advisable and may be unlawful.
Who pays the stamp duty on a rental agreement?
The agreement can say who pays. In practice, stamp duty is often paid by the tenant or shared equally, but this varies by custom and negotiation.
Can a rental agreement be made online?
Many states offer e-stamping, and some offer online registration of leave and licence or rent agreements with biometric verification. The agreement can be drafted remotely and signed as per the method allowed in your state.
Is a notarised rental agreement valid?
Notarisation confirms the identity of the signatories and the date of execution. It does not replace stamp duty or registration where these are required.
Can I use a rental agreement for address proof?
Yes. Many institutions accept a properly stamped, and in some cases registered, rental agreement as proof of address, often along with a utility bill of the property.
Does a commercial rental agreement differ from a residential one?
Yes. Commercial agreements usually have longer terms, lock-in periods, fit-out provisions, GST on rent, signage rights and different maintenance responsibilities. They are also more often registered because of longer terms.
What should a tenant check before signing?
Check the owner's title or authority, the condition of the property, society rules, the deposit refund terms, notice and lock-in periods, and who pays for maintenance and utilities.
Can a rental agreement be terminated early?
Yes, if the agreement allows it, usually after a lock-in period and with notice. Termination for breach, such as non-payment of rent or misuse of the premises, is also commonly provided.
