Master Service Agreement: complete guide
Introduction
A Master Service Agreement, often shortened to MSA, is a framework contract between a service provider and a client that sets out the general terms that will apply to all the work the provider does for that client over a period of time. Instead of negotiating a full contract every time a new project starts, the parties agree the core legal terms once, in the MSA, and then sign shorter documents, usually called statements of work, work orders or purchase orders, for each individual project. Each statement of work describes the specific services, deliverables, timelines and fees, and is governed by the MSA.
MSAs are standard in long-term business relationships in India, especially in IT services, software development, digital marketing, consulting, facility management, staffing, logistics, engineering and outsourcing. Large clients and multinational companies almost always insist on an MSA before onboarding a new vendor, and many growing Indian service businesses now use their own MSA when signing up clients, so that the terms are on their side of the table rather than the client's.
An MSA is governed mainly by the Indian Contract Act, 1872, which covers offer, acceptance, consideration, breach, damages and indemnity. Other laws come in depending on the services: the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023 for data handling, the Copyright Act, 1957 for ownership of software, content and designs, the Arbitration and Conciliation Act, 1996 for dispute resolution, and the Central Goods and Services Tax Act, 2017 for tax on the fees. Labour law considerations arise where the provider deploys personnel at the client's premises. Stamp duty under the state stamp law applies to the agreement.
The value of an MSA lies in the terms that only matter when something goes wrong: limitation of liability, indemnity, intellectual property, confidentiality, acceptance of deliverables, payment and interest on delays, termination, and how disputes are resolved. These clauses are often negotiated hard by clients, and a provider that signs a one-sided MSA can find itself facing unlimited liability or losing ownership of its own tools. Our team drafts MSAs from either side's perspective, aligns them with your actual delivery model, and builds a statement of work template that sits cleanly under the master terms.
Who Needs It
A Master Service Agreement is suitable for:
- IT services and software development companies that take on multiple projects or ongoing maintenance for the same client.
- Digital marketing, design and creative agencies working on retainers and campaign-based projects.
- Consulting and advisory firms, including management, HR, finance and technical consultants, who handle recurring assignments.
- Outsourcing, BPO and KPO providers delivering ongoing process work for domestic or overseas clients.
- Facility management, security and housekeeping contractors providing services across multiple sites.
- Staffing and manpower agencies deploying personnel on assignments, subject to labour law compliance.
- Logistics and warehousing providers with repeat transport or storage contracts.
- Clients and procurement teams that engage several vendors and want uniform terms across all of them.
- Startups and SaaS companies offering implementation, integration or professional services in addition to software.
If the engagement is a single, one-off project with a fixed scope, a standalone services agreement or a Scope of Work and Deliverables Agreement may be simpler. If you need service levels with credits and penalties, a Service Level Agreement can be attached to the MSA.
Key Benefits
- Faster onboarding of new projects. Once the MSA is signed, each new project needs only a short statement of work, saving weeks of negotiation.
- Consistency across engagements. The same legal terms apply to every project, avoiding conflicting clauses in different contracts.
- Controlled risk. Liability caps, exclusions for indirect losses and balanced indemnities keep exposure proportionate to the fees earned.
- Clear intellectual property position. The MSA sets out who owns deliverables, what pre-existing tools the provider keeps, and what licence the client receives.
- Payment discipline. Invoicing cycles, credit periods, interest on late payment and the right to suspend services for non-payment are fixed in advance.
- Confidentiality and data protection. Obligations on handling the client's confidential and personal data are built in, with security and breach notification terms where needed.
- Orderly exit. Termination rights, notice periods, transition assistance and payment for work done are clear.
How the MSA and statements of work fit together. The MSA contains the terms that rarely change: definitions, payment terms, IP, confidentiality, warranties, liability, indemnity, termination, governing law and disputes. Each statement of work contains the terms that change by project: description of services, deliverables, milestones, acceptance criteria, team composition, fees and project-specific assumptions. A well-drafted MSA also includes an order of precedence clause stating which document prevails if the MSA and a statement of work conflict, and a change request procedure for scope changes within a project.
Provider-side and client-side MSAs. A provider-friendly MSA typically caps liability at fees paid over a recent period, excludes indirect and consequential losses, retains ownership of background tools and limits warranties to a short period. A client-friendly MSA seeks broader indemnities, ownership of all deliverables, stronger audit rights and termination for convenience. We draft from your side while keeping the terms reasonable enough to be accepted by the other party.
Eligibility and Legal Requirements
Any two parties competent to contract under the Indian Contract Act, 1872 can sign an MSA, including companies, LLPs, partnership firms, proprietors and individuals. Key legal points that shape the drafting include:
- Essentials of a valid contract. Free consent, lawful consideration and lawful object are required. Clauses that are uncertain, or that wholly restrain a party from carrying on a lawful business, may be void.
- Authority to sign. For companies and LLPs, the signatory should be authorised by a board resolution or power of attorney. Large or related-party contracts may need additional approvals under the Companies Act, 2013.
- Limitation of liability and damages. Sections 73 and 74 of the Indian Contract Act, 1872 govern compensation for breach and stipulated damages. Liability caps and exclusions are generally respected between commercial parties, but cannot protect a party against its own fraud.
- Indemnity. Sections 124 and 125 of the Indian Contract Act, 1872 recognise contracts of indemnity. MSAs usually provide broader contractual indemnities, such as for third-party intellectual property claims.
- Intellectual property. Under the Copyright Act, 1957, the author of a work is generally the first owner, except for works made by employees in the course of employment. Work created by an independent contractor generally belongs to the contractor unless assigned in writing. Section 19 of the Copyright Act requires assignments to be in writing and to specify the rights, territory and duration.
- Data protection. Where personal data is processed, the MSA should reflect obligations under the Digital Personal Data Protection Act, 2023 and its rules as they come into force, and where foreign clients are involved, laws such as the GDPR.
- Labour law. Where the provider deploys workers at the client's site, contract labour obligations and the new labour codes must be considered, including licensing where applicable and the principal employer's responsibilities.
- Tax. The MSA should state whether fees are exclusive of GST and how tax deducted at source will be handled.
- Stamp duty. The MSA should be stamped as per the stamp law of the state where it is executed. Insufficiently stamped documents are not admissible in evidence until the deficit and penalty are paid.
- Dispute resolution. Arbitration clauses must clearly identify the seat, the number of arbitrators and, where chosen, the institution and rules. Under the Commercial Courts Act, 2015, commercial disputes above the specified value go to commercial courts if not arbitrated.
Laws on data protection, labour and stamp duty are changing. We check the current position at the time of drafting.

Common Mistakes to Avoid
- Signing the client's MSA without review. Client drafts often contain unlimited indemnities, broad IP assignment and termination without payment.
- No liability cap. Without a cap, a provider can face claims far larger than the fees earned.
- Unclear IP terms. Failing to separate pre-existing tools from project deliverables can mean losing ownership of your own code or methods.
- Vague acceptance process. Without deemed acceptance after a fixed period, clients can delay payment indefinitely by withholding sign-off.
- No order of precedence. Conflicts between the MSA and statements of work cause confusion. State which prevails.
- Ignoring scope change. Without a change request process, providers end up doing additional work for free.
- Missing suspension rights. Providers should be able to suspend services after notice if invoices remain unpaid.
- Inadequate data protection terms. Clients increasingly need specific data clauses. Missing them can stall procurement.
- Not stamping the agreement. An unstamped agreement cannot be relied on in court until stamp duty and penalty are paid.
What Happens After
After the MSA is signed:
- Issue a statement of work for each project, referencing the MSA and setting out deliverables, timelines and fees.
- Follow the change request process for any change in scope, with written approvals and revised fees where needed.
- Use acceptance certificates to record completion and acceptance of milestones.
- Invoice as agreed and track payment against the credit period. Use the late payment and suspension clauses when needed.
- Maintain confidentiality and security as required by the MSA, and train your team on the obligations.
- Send notices correctly, to the address and in the manner set out in the notice clause.
- Track renewal and expiry dates, and review the MSA before renewal to reflect changes in your business and the law.
Our team can help with statements of work, Service Level Agreements, contract renewals and disputes arising under the MSA.
FAQs
What is the difference between an MSA and a statement of work?
The MSA sets the general legal terms for the relationship, while a statement of work describes a specific project, including deliverables, timelines and fees. Each statement of work is governed by the MSA.
Is a Master Service Agreement legally binding in India?
Yes. An MSA signed by authorised representatives of both parties is a binding contract under the Indian Contract Act, 1872. Each statement of work becomes binding when signed or accepted as the MSA provides.
Does an MSA need to be registered?
No. An MSA does not need registration, but it must be stamped as per the applicable state stamp law.
Can an MSA be signed electronically?
Yes. The Information Technology Act, 2000 recognises electronic signatures. However, stamp duty still applies, and e-stamping or other methods allowed in the state should be used.
Who owns the work created under an MSA?
That depends on the IP clause. Commonly, the client owns the final deliverables once paid for, while the provider keeps its pre-existing tools and know-how and grants the client a licence to use them as part of the deliverables.
What is a reasonable liability cap?
A common position is to cap liability at the fees paid or payable under the relevant statement of work over a recent period, such as twelve months, with certain exclusions. The right figure depends on the risk and the negotiating strength of each party.
Can the client terminate the MSA at any time?
Only if the MSA allows termination for convenience. Many MSAs allow either party to terminate on notice, subject to payment for work done and transition assistance.
Do I need a separate NDA if I have an MSA?
Usually not, because the MSA contains confidentiality clauses. However, a separate NDA is often signed before the MSA, during discussions, and the MSA can then replace it.
Should the MSA include service levels?
If the services are ongoing and measurable, such as support or uptime, service levels are commonly set out in a separate Service Level Agreement attached to the MSA or to a statement of work.
Can an MSA be used with foreign clients?
Yes. With foreign clients, the MSA should address governing law, seat of arbitration, currency, foreign exchange, withholding tax and data protection laws of the client's country.
How long does an MSA last?
MSAs usually have an initial term of one to three years with automatic renewal, unless terminated. Statements of work can continue after expiry if the MSA says so.
What happens if a statement of work conflicts with the MSA?
The order of precedence clause decides. Usually the MSA prevails, unless the statement of work expressly states that it overrides a specific MSA clause for that project.
Can you review an MSA that a client has sent us?
Yes. We review the client's draft, identify risky clauses, explain their effect and suggest changes that protect you while keeping the negotiation constructive.
