Add Designated Partner: complete guide
Introduction
A limited liability partnership, or LLP, is run by its partners, but the law gives a special role to some of them. Designated partners are the partners who are personally responsible for the LLP's compliance under the Limited Liability Partnership Act, 2008. They sign and file the LLP's annual statements and returns, deal with the Registrar of Companies, and can be held liable for penalties if the LLP fails to meet its legal obligations. Every LLP must have at least two designated partners at all times, and at least one of them must be resident in India.
LLPs add designated partners for many reasons. A new partner may be taking on a management role, an existing partner may be stepping back, a partner who is a company may need to nominate an individual to act for it, or the LLP may need a resident designated partner to meet the legal requirement. Whatever the reason, the appointment must be made in line with the LLP agreement, the person must hold a Director Identification Number and give their consent, and the change must be reported to the Registrar through Form 4 within 30 days. If the change also alters the rights, duties or contribution of partners, the LLP agreement must be amended and filed through Form 3.
Handling these steps correctly matters. An LLP that has fewer than two designated partners, or that does not report the change on time, is in breach of the Act and attracts penalties on the LLP and its partners. A late or incomplete filing can also hold up later work such as annual filings, bank updates or a change in the GST registration.
Our team manages the full process of adding a designated partner. We check the person's eligibility, arrange the Digital Signature Certificate and DIN where needed, draft the consent, partner resolution and supplementary agreement, and file the forms with the Registrar. This page explains who needs this service, the legal requirements, the step-by-step process, documents, timelines, our fee and what follows the appointment.
Who Needs It
You may need to add a designated partner if:
- Your LLP has fewer than two designated partners because a designated partner has resigned, retired, passed away or become disqualified. The Act requires the vacancy to be filled within a set time.
- Your LLP has no resident designated partner. At least one designated partner must be resident in India, so a change in a partner's residence may require a new appointment.
- A new partner is joining with a management role and the existing partners want them to share legal responsibility for compliance.
- An existing partner is being given greater responsibility, and the partners want to change their status from partner to designated partner.
- A company or another LLP is a partner and needs to nominate an individual to act as designated partner on its behalf.
- An investor or family member is coming in to strengthen the LLP's leadership.
- The LLP is restructuring before a conversion, a new business line or the entry of a strategic partner.
Adding a director to a company follows a different process under the Companies Act, 2013, which we handle as a separate service.
Key Benefits
- Legal compliance. Keeping at least two designated partners, including one resident in India, keeps the LLP in line with Section 7 of the LLP Act.
- Shared responsibility. Adding a designated partner spreads compliance responsibility among more people, which reduces the burden on existing designated partners.
- Updated public record. Once Form 4 is approved, the designated partner's details appear against the LLP on the MCA records, which banks, clients and authorities rely on.
- Authority to sign. A designated partner can sign the LLP's statutory filings and, where authorised, operate bank accounts and sign agreements.
- Continuity. Filling vacancies promptly ensures the LLP can keep filing its annual returns and running its business without interruption.
- Avoiding penalties. Timely filings avoid additional fees for late filing and the penalties that apply when an LLP does not have the required designated partners.
- Clear internal arrangements. Updating the LLP agreement at the same time records the new partner's rights, duties, profit share and contribution, which helps avoid disputes later.
Partner and designated partner are not the same. Every designated partner is a partner of the LLP, but not every partner is a designated partner. A partner shares in the profits and has the rights set out in the LLP agreement. A designated partner has the additional legal responsibility for compliance under the Act, such as filing the annual return and the statement of account and solvency, and is liable for penalties if those obligations are not met. When we add a designated partner, we first confirm whether the person is already a partner or is joining the LLP for the first time, because the documents and forms differ.
When a company is a partner. A body corporate, such as a company or another LLP, can be a partner of an LLP, but only an individual can be a designated partner. In this case, the body corporate nominates an individual to act as designated partner on its behalf. That nominee must meet the same requirements as any other designated partner, including holding a DIN and giving consent.
Eligibility and Legal Requirements
The main requirements under the Limited Liability Partnership Act, 2008 and the LLP Rules, 2009 are:
- Minimum two designated partners. Every LLP must have at least two designated partners who are individuals, and at least one of them must be resident in India. Under the Act as amended, a person is treated as resident if they have stayed in India for not less than 120 days during the financial year.
- Individual only. A designated partner must be an individual. Where all partners are body corporates, or where some partners are individuals and some are body corporates, the required number of individual designated partners can be nominated by the body corporates.
- Director Identification Number. The person must hold a DIN. Where they do not have one, it is applied for through the form prescribed for this purpose, after obtaining a Digital Signature Certificate.
- Digital Signature Certificate. A valid Class 3 Digital Signature Certificate is needed to sign the forms and future filings.
- Prior consent. The person must give prior consent to act as designated partner in the prescribed form, which is filed with the Registrar.
- Compliance with the LLP agreement. The appointment must follow the procedure in the LLP agreement. If the agreement does not provide for it, the change requires the consent of all partners.
- Filing of Form 4. Notice of the appointment, or change in status from partner to designated partner, is filed in Form 4 within 30 days of the change.
- Filing of Form 3, where needed. If the LLP agreement is amended because of the appointment, for example to change profit sharing, contribution or duties, the changes must be filed in Form 3 within 30 days.
- Filling vacancies. If a designated partner ceases to hold office, the LLP must appoint a replacement within the time allowed under the Act, so that the minimum number is maintained.
- Not disqualified. The person must not be an undischarged insolvent or otherwise barred from acting as a partner under the law.
Government fees are payable at actual, and additional fees apply for filings made after the due date. LLP law and forms are updated from time to time, and we check the current requirements at the time of filing.
Step-by-Step Guide
- Initial consultation. We understand why the designated partner is being added, whether the person is an existing partner or a new entrant, and whether profit shares or contributions will change.
- Review of the LLP agreement. We check the LLP agreement for the procedure to admit partners, appoint designated partners and change the agreement.
- Eligibility check. We confirm the person's residence status, DIN status, DIN KYC and whether there is anything that would bar them from acting.
- Digital Signature Certificate and DIN. If needed, we arrange a Class 3 Digital Signature Certificate and apply for a DIN for the incoming designated partner.
- Drafting the consent. We prepare the person's consent to act as designated partner in the prescribed form.
- Partners' resolution. We draft the resolution or consent of the partners approving the admission or change in status, as required by the LLP agreement.
- Supplementary agreement, if needed. Where profit share, contribution, rights or duties are changing, we draft a supplementary LLP agreement, which is signed by all partners and stamped as per the applicable state stamp law.
- Filing Form 4. We prepare and file Form 4 with the consent and supporting documents on the MCA portal within 30 days of the appointment, signed digitally by a designated partner and certified by a practising professional where required.
- Filing Form 3. Where the LLP agreement has been changed, we file Form 3 with the supplementary agreement within 30 days of the change.
- Approval and handover. Once the Registrar approves the forms, we share the approved filings, resolution and supplementary agreement, and guide you on updating your bank and other registrations.

How Long It Takes
Adding a designated partner is usually completed within seven to twelve working days from the date we receive complete documents. A typical timeline is:
- Digital Signature Certificate: one to two working days, if the person does not already hold one.
- DIN application: a few working days, if a new DIN is needed.
- Drafting the consent, resolution and supplementary agreement: one to three working days, depending on how many changes are being made.
- Stamping and signing of the supplementary agreement: depends on the state and how quickly partners can sign.
- Registrar processing of Form 4 and Form 3: usually a few working days, though forms sent for scrutiny may take longer.
The 30-day filing period runs from the date of the change, so it is important to begin as soon as the partners agree on the appointment.
Pricing
Our professional fee for Add Designated Partner is ₹ 3,499.

- Preparation and filing of Form 4 with the Registrar
- Professional certification of the form where required

Common Mistakes to Avoid
- Missing the 30-day deadline. Late filing of Form 4 or Form 3 attracts additional fees that increase with the delay.
- Leaving the LLP without a resident designated partner. If the only resident designated partner leaves, the LLP must fill the vacancy promptly to stay compliant.
- Not following the LLP agreement. If the agreement requires the consent of all partners or a particular procedure, skipping it can make the appointment open to challenge.
- Forgetting Form 3. If profit share, contribution or duties change, the LLP agreement must be amended and filed. Filing only Form 4 leaves the record incomplete.
- Unstamped supplementary agreement. A supplementary LLP agreement must be stamped as per the stamp law of the state, otherwise it may not be admissible as evidence.
- Inactive DIN or KYC. A DIN that is deactivated for non-compliance with KYC cannot be used in Form 4 until KYC is completed.
- Nominating a body corporate as designated partner. Only an individual can be a designated partner. A company partner must nominate a person.
- Mismatched details. Names, dates of birth and addresses must match across identity documents, DIN records and the forms.
What Happens After
After the forms are approved, the new designated partner appears on the MCA records against the LLP. Next steps include:
- Bank records. Share the partners' resolution with your bank if the new designated partner will operate the account or act as a signatory.
- GST and other registrations. Changes in partners must be updated on the GST portal through an amendment application, and with other authorities where applicable.
- Annual filings. The new designated partner shares responsibility for the LLP's annual return in Form 11 and the statement of account and solvency in Form 8.
- DIN KYC. The designated partner must keep their DIN KYC updated as required under the rules.
- Records. Keep the consent, resolution and supplementary agreement safely with the LLP's records.
Our team can also handle annual LLP compliance and future changes to the LLP agreement.

Under the LLP Act as amended, a person is treated as resident in India if they have stayed in India for at least 120 days during the financial year. We check the current definition at the time of filing.
Can a company be a designated partner?
No. A company can be a partner of an LLP, but only an individual can be a designated partner. The company can nominate an individual to act as designated partner on its behalf.

Is Form 3 always needed when adding a designated partner?
No. Form 3 is needed only when the LLP agreement is changed, for example when profit sharing, contribution or duties are amended. If an existing partner is simply made a designated partner without other changes, Form 4 alone may be enough, depending on the terms of the agreement.

Yes, provided they obtain a DIN and Digital Signature Certificate and their documents are properly legalised. The LLP must still have at least one designated partner who is resident in India.
What is the deadline for filing Form 4?
Form 4 must be filed within 30 days of the appointment or change. Filings after this period attract additional fees.

Yes. Changes in partners must be updated on the GST portal through an amendment application within the time allowed under GST rules.
