Limited Liability Partnership Compliance: complete guide
Introduction
A Limited Liability Partnership, or LLP, combines the flexibility of a partnership with the limited liability of a company. It is a body corporate registered under the Limited Liability Partnership Act, 2008, separate from its partners, and each partner's liability is generally limited to their agreed contribution. One of the main reasons founders and professionals choose an LLP is its lighter compliance load compared with a company. There are no mandatory board meetings, no annual general meetings, and audit is required only above certain thresholds.
Lighter does not mean none. Every LLP, whether active or dormant and whatever its size, must file two annual forms with the Registrar of Companies: Form 11, the Annual Return, and Form 8, the Statement of Account and Solvency. It must also file an income tax return every year, and where the turnover or contribution crosses the limits in the law, it must have its accounts audited. Designated partners must complete their annual KYC, and any change in partners, registered office or the LLP agreement must be reported within time.
The consequences of missing these filings are significant. Under the LLP Act, late filing attracts an additional fee for every day of delay, with no upper cap, and the amount can quickly exceed the original fee many times over. Continued non-filing can lead to the designated partners being treated as in default, penalties on the LLP and its partners, and in serious cases the LLP's name being struck off the register. An LLP that has not filed its forms also faces difficulty in opening bank accounts, raising loans, bidding for contracts and converting into a company later.
Our annual LLP compliance package covers the core filings that every LLP needs each year. Our team of company secretaries and chartered accountants prepares your financial statements from your books, files Form 11 and Form 8 with the Registrar, files the income tax return of the LLP, completes the designated partners' KYC and keeps a calendar of your due dates. LLP rules, forms and fees are updated from time to time, and we check the current requirements at the time of each filing.
Who Needs It
Annual compliance is mandatory for every LLP registered in India, including:
- Newly incorporated LLPs. Even an LLP incorporated late in the financial year must file Form 11 and Form 8 for that first year. An LLP incorporated on or after the first of October may close its first financial year on the thirty-first of March of the following year, as permitted under the Act.
- Professional firms such as chartered accountants, architects, consultants, lawyers and designers who operate as LLPs.
- Small trading and service businesses that chose the LLP form for limited liability with fewer formalities.
- Family businesses run by relatives as designated partners.
- LLPs with foreign partners, which also have foreign exchange reporting obligations in addition to the annual filings.
- Dormant or inactive LLPs. An LLP with no business still has to file nil returns until it is formally closed or struck off.
- LLPs converted from partnership firms or companies, which must continue filings under the LLP Act from the date of conversion.
- LLPs planning to raise funds, take loans or convert into a company, since lenders, investors and the Registrar check filing history.
If your LLP has missed filings in earlier years, we can also help bring it up to date and advise on any scheme for condonation or reduced additional fees that may be in force at the time.
Key Benefits
- All core annual filings in one package. Form 11, Form 8, the income tax return and designated partner KYC are handled by one team.
- No late fees. We track due dates and file on time, so you avoid the daily additional fee that applies under the LLP Act.
- Prepared financial statements. We prepare the Statement of Account and Solvency and the financial statements in the format required, based on your books.
- Correct disclosure of partners and contribution. We check that the details of partners, their contributions and profit sharing match the LLP agreement and the Registrar's records.
- Protection for designated partners. Timely filing keeps designated partners out of default and protects their DIN status.
- Good standing with banks and clients. An up-to-date filing record supports bank loans, tenders and client onboarding.
- Clean history for future plans. Investors, buyers and the Registrar look at past compliance when an LLP raises funds, admits new partners or converts into a company.
- Tax filing aligned with company law filing. Using the same figures for the Registrar and the tax return avoids inconsistencies.
LLP compliance compared with company compliance. A private limited company must hold board meetings and an annual general meeting, maintain several statutory registers, appoint an auditor regardless of size, and file its financial statements and annual return in separate forms. An LLP has none of the meeting requirements and needs an audit only above the thresholds. However, both face penalties for late filing, and an LLP's daily additional fee can make a delay just as costly.
How the year works in practice. After the financial year ends on the thirty-first of March, we collect the books and partner details, prepare the financial statements, and file Form 11 by the end of May. We then file Form 8 by the end of October, after the accounts are finalised and audited where required. The income tax return is filed by the due date that applies to the LLP, which depends on whether a tax audit is needed. Designated partner KYC is completed as required during the year.
Eligibility and Legal Requirements
LLP compliance is governed by the Limited Liability Partnership Act, 2008 and the Limited Liability Partnership Rules, 2009, along with the Income-tax Act and other laws that apply to the LLP's business. The key requirements are:
- Financial year. Every LLP must follow a financial year ending on the thirty-first of March, subject to the first-year exception for LLPs incorporated on or after the first of October.
- Books of account. The LLP must maintain proper books of account at its registered office on a cash or accrual basis and on the double-entry system.
- Form 11, Annual Return. Form 11 must be filed within sixty days of the close of the financial year, that is, by the thirtieth of May. It contains details of the partners, their contributions and changes during the year.
- Form 8, Statement of Account and Solvency. Form 8 must be filed within thirty days from the end of six months of the financial year, that is, by the thirtieth of October. It includes a declaration of solvency by the designated partners and summary financial information. It must be signed by two designated partners and, where applicable, certified by a practising professional.
- Audit. The accounts must be audited by a chartered accountant if the LLP's turnover exceeds forty lakh rupees or its contribution exceeds twenty-five lakh rupees in a financial year, subject to the thresholds in the rules at the time. Other LLPs may still choose to have their accounts audited.
- Tax audit. A tax audit under the income tax law is separately required where the LLP's turnover or gross receipts exceed the limits in that law.
- Income tax return. An LLP files its return in ITR-5. The due date is generally the thirty-first of July if no audit is required, and the thirty-first of October if a tax audit is required, unless extended.
- Designated partner KYC. Every designated partner holding a DIN must complete KYC as prescribed by the Ministry. Failure leads to the DIN being deactivated until KYC is completed with a fee.
- Event-based filings. Changes in partners or designated partners, registered office, LLP agreement, name or business must be reported in the specified forms within the prescribed time, generally thirty days.
- Significant beneficial ownership. LLPs must identify and report individuals who hold significant beneficial interests, as required under the rules.
Additional fees for late filing are payable for each day of delay. LLP law, forms and thresholds are updated from time to time. We check the current requirements at the time of filing.
Step-by-Step Guide
- Onboarding and review. We review the LLP's incorporation documents, LLP agreement, partner details, previous filings and status on the MCA portal.
- Compliance calendar. We set up a calendar of due dates for Form 11, Form 8, the income tax return, KYC and any other filings that apply.
- Collection of partner information. We confirm the current partners, designated partners, contributions and any changes during the year.
- Preparation and filing of Form 11. We prepare the Annual Return, have it signed digitally by a designated partner, and file it by the thirtieth of May.

- Preparation of financial statements. We prepare the Statement of Account and Solvency, the balance sheet and the income and expenditure account in the required format.
- Coordination with the auditor. Where an audit is required, we coordinate with the LLP's auditor so the accounts are audited in time.
- Filing of Form 8. We prepare Form 8, have it signed by two designated partners and certified where required, and file it by the thirtieth of October.
- Filing of the income tax return. We compute the LLP's taxable income, calculate any tax payable, and file the return in ITR-5 by the applicable due date.

How Long It Takes
LLP compliance follows the annual calendar set by the law, and the work is spread across the year:
- Form 11: prepared and filed within two to three working days of receiving partner details, ahead of the thirtieth of May.
- Financial statements: usually one to three weeks after receiving complete books, depending on the volume of transactions and the state of the records.
- Form 8: filed within two to three working days after the accounts are finalised and audited, ahead of the thirtieth of October.
- Income tax return: filed within a few working days after the accounts are finalised, by the applicable due date.
- Designated partner KYC: completed within one working day per partner, once OTP verification is done.
Filings are usually processed by the Registrar automatically. Delays mostly come from incomplete books, late signatures from designated partners, or pending filings from earlier years.

Common Mistakes to Avoid
- Assuming a dormant LLP need not file. Every LLP must file Form 11 and Form 8 every year until it is closed, even with no business.
- Missing the first-year filings. Newly incorporated LLPs often forget that the first financial year's forms are due, which leads to additional fees early on.
- Ignoring the daily additional fee. Additional fees accumulate for each day of delay and have no upper cap under the LLP Act, so even a short delay adds up.
- Mismatch between Form 11 and the LLP agreement. Contributions and partner details must match the agreement and the Registrar's records. Unreported changes create inconsistencies.
- Not reporting partner changes. Admission or exit of partners must be reported within thirty days in the specified form, along with the change in the LLP agreement.
- Skipping audit when thresholds are crossed. If turnover or contribution crosses the limit, the accounts must be audited. Filing unaudited accounts in such a case is a default.
- Letting DIN KYC lapse. A designated partner whose DIN is deactivated cannot sign forms until KYC is completed with a fee.
- Different figures for tax and the Registrar. Using one set of numbers in Form 8 and another in the income tax return invites questions from both authorities.
- Keeping books informally. The law requires proper books of account on the double-entry system. Bank statements alone are not enough.
What Happens After
Once the year's filings are complete, your LLP remains in good standing and the cycle continues:
- The next year's calendar begins on the first of April, with Form 11 due by the end of May.
- Event-based changes, such as new partners, a change in contribution, a new registered office or amendments to the LLP agreement, should be filed as they happen.
- GST and TDS compliance continue monthly or quarterly as applicable.
- Bookkeeping throughout the year makes the year-end accounts and filings faster and more accurate.
- Future plans, such as raising funds, converting into a company or closing the LLP, are easier when filings are current.
- Notices. If the Registrar or the tax department issues a notice, we help you respond with the filed records.
Our team offers bookkeeping, GST filing, TDS returns and event-based filings that can be added to the annual package.
